The sweetwwater equipment will have +(add in the stats) and 0 upgrade slots.

Not the Commerci gear, the Sweetvvater gear. The Commerci gear can't be transferred onto, and is inferior when compared to Sweetvvater stuff.

I think you should upgrade, if you do not plan on getting any Fafnir weapons. The Fafnir set will be better than Sweet water simply because with the Fafnir Set, you get benefits from Fafnir items and Tyrant items. Also, I think the scrolls carry through for the upgrade. Just keep in mind that once you upgrade and equipped, I do not think you can ever make it tradeable again (Correct me if I'm wrong).
